Proposed Constitution Changes
Our current Strategic Plan includes an aim to strengthen the governance of the organisation. In furtherance of this aim, the Board has requested advice regarding the structure of the organisation from Associations Forum, the body representing associations and charities in Australia. Associations Forum have advised the board that we should change from an Incorporated Association to a Company Limited by Guarantee.
The key reasons that Associations Forum have made this recommendation are that it reduces bureaucratic red tape, and makes clearer the legal obligations and powers of members and directors. In addition, the size of our organisation now better fits the model of a Company Limited by Guarantee, This will strengthen our not-for-profit status as it means we will be regulated solely by the Australian Charities and Not-for-profits Commission (ACNC).

At the same time, we can take the opportunity to change the legal name of Blackmans Bay Childrens Services Inc. to our trading name, Adventure Patch.
In order for this process to occur, we need to change to a constitution that conforms with the Commonwealth Corporations Act. Associations Forum have drafted for us a new constitution which is based on the principles contained in our current constitution.
